UK & EU · Special Situations

Special situations. Real operations. Lasting value.

Paras Resources acquires distressed and undervalued businesses across the UK and Europe, then does the operational work to turn them around. We see past the problem to the business underneath.

Our discipline

What we bring to every acquisition

Three commitments guide every transaction we complete.

We buy substance

An industrial or operational core that survives the special situation. Real customers. Verifiable value. Not promises.

We do the work

Turnaround is operational, not financial engineering. We roll up our sleeves inside the business.

We build for the long term

We integrate and hold. We do not asset-strip and we do not flip.

Investment criteria

The Three Tests

Every acquisition must pass all three. When they don't, we pass.

A core that survives the special situation

We look for an operational or industrial core — real customers, real product, real capability — that will still be standing once the current difficulty is resolved. We are not buying a balance sheet problem; we are buying a business with a problem.

A situation that has created the opportunity

Distress, a forced sale, a broken carve-out, or a succession without a successor — the opportunity has to be explainable. A business priced by its problem, not its potential, is exactly where we look.

A transaction we can realistically complete

Speed and certainty matter in a special situation. We only pursue transactions with a clear, executable path to completion within the timeframe the situation demands.

Where we look

Special situations we act on

Four contexts most often produce the opportunities we pursue.

Distress

Operational or financial distress

A viable business under short-term pressure — from covenant breach to a working-capital squeeze — that needs a decisive, well-capitalised owner.

Forced sale

Forced & time-pressured sales

Insolvency processes, lender-led disposals, and other situations where the seller's timeline is fixed and speed of execution is the deciding factor.

Carve-out

Broken carve-outs

Divisions separated from a parent group without the standalone infrastructure to function — needing rebuilt management, systems, and direction.

Succession

Succession without a successor

Founder- or family-owned businesses facing retirement or exit with no internal successor, at risk of being sold purely on the seller's terms.

About Paras Resources

Responsible owners, not financial engineers

We are not a consultancy that bills by the hour, and we are not a credit fund taking debt positions. We take equity control and become responsible owners — stabilising operations, strengthening management, and rebuilding performance from the inside.
